Terms of Service

These Terms of Service ("Terms") are a legal agreement between Nahe Holdings LLC, doing business as Anywrks ("Anywrks," "we," "our," or "us"), and you or the organization you represent ("Organization" or "you").

By creating an account, purchasing a subscription, or using the Anywrks platform, you agree to these Terms.

If you accept these Terms on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree to these Terms, do not use Anywrks.

1. Description of Service

Anywrks is a software-as-a-service platform providing purpose-built operational workspaces for human services organizations.

Depending on the workspaces activated by an Organization, Anywrks may provide tools to:

• Manage workforce credentials, certifications, training, and expiration dates
• Organize employee onboarding and compliance workflows
• Manage housing intake, admissions, authorizations, tenancy status, services, and billing readiness
• Manage support coordination caseloads, monitoring, plans, authorizations, contacts, and deadlines
• Assign and track operational tasks and responsibilities
• Surface overdue, missing, blocked, or upcoming work
• Maintain documents, records, notes, and operational status information
• Provide organization-level visibility across activated workspaces

Anywrks is designed to organize operational work around the systems Organizations already use. Unless expressly agreed otherwise, Anywrks does not replace an Organization's EHR, HMIS, MCO systems, billing systems, government portals, or other systems of record.

Anywrks does not provide legal, medical, tax, accounting, billing, clinical, or regulatory advice. Organizations remain responsible for their programs, records, decisions, and compliance with applicable laws and requirements.

2. Accounts & Responsibilities

You agree to provide accurate and complete information when creating and maintaining an Anywrks account.

You are responsible for:

• Maintaining the confidentiality and security of your account credentials
• All activity occurring through accounts you authorize
• Managing access granted to administrators, employees, contractors, and other authorized users
• Promptly removing access when a user should no longer have access
• Ensuring your use of Anywrks complies with applicable laws, regulations, contracts, and organizational policies

You must promptly notify us at peacemakerbak@gmail.com if you become aware of suspected unauthorized access or use of your account.

3. Acceptable Use

You may use Anywrks only for lawful business purposes.

You may not:

• Use Anywrks to collect, store, or process information without appropriate authority or legal basis
• Upload malware, malicious code, or unlawful content
• Attempt to gain unauthorized access to Anywrks or another customer's account or data
• Circumvent security, authentication, access, or usage controls
• Reverse engineer, decompile, or attempt to derive the source code of Anywrks except where such restriction is prohibited by law
• Scrape, copy, reproduce, or systematically extract the platform or its content without authorization
• Use Anywrks to violate applicable privacy, employment, healthcare, human services, or other laws or regulations
• Interfere with or disrupt the operation or security of Anywrks
• Use Anywrks to impersonate another person or organization
• Represent that Anywrks provides legal, medical, regulatory, tax, or other professional advice

We may suspend access where we reasonably believe use of Anywrks creates a material security, legal, or operational risk.

4. Customer Data & Ownership

Your Organization owns its data.

As between Anywrks and your Organization, your Organization retains its rights to information, documents, records, and other content submitted to its Anywrks account ("Customer Data").

You grant Anywrks a limited, non-exclusive right to host, store, process, transmit, display, and otherwise use Customer Data only as reasonably necessary to:

• Provide and maintain Anywrks
• Perform requested functionality
• Provide support
• Protect the security and integrity of the platform
• Comply with applicable law

You are responsible for ensuring that your Organization has the necessary rights, permissions, notices, and legal basis to collect and process Customer Data through Anywrks.

Anywrks retains all rights in the Anywrks platform, software, design, technology, documentation, trademarks, and other intellectual property associated with the service.

5. Subscriptions, Workspaces & Billing

Anywrks is offered through paid subscriptions.

Unless otherwise agreed in writing:

• Workspaces are purchased individually at the price displayed at the time of purchase.
• Each activated workspace is billed separately under the Organization's Anywrks account.
• Organizations may activate additional workspaces as their needs change.
• Subscription fees and billing frequency will be presented before purchase or established in an applicable order or agreement.
• Subscriptions automatically renew for the applicable billing period unless canceled before renewal.
• Cancellation takes effect at the end of the current paid billing period unless otherwise stated.
• Fees are non-refundable except where required by law or expressly agreed otherwise.
• We may change pricing upon reasonable advance notice. Pricing changes will generally apply beginning with a subsequent billing or renewal period.
• If payment becomes overdue, we may suspend access after providing reasonable notice and an opportunity to resolve the payment issue.

Larger organizations may receive customized pricing, configuration, implementation, support, or commercial terms under a separate written agreement.

If a separate written order form or agreement conflicts with these Terms regarding pricing, billing, or other specifically negotiated terms, the separate written agreement will control for those terms.

6. Confidentiality

Each party may receive non-public or confidential information from the other in connection with Anywrks.

Each party agrees to use reasonable measures to protect such information and to use it only for purposes related to the business relationship.

Anywrks will process and disclose Customer Data only as described in these Terms, our Privacy Policy, applicable agreements, or as required by law.

Confidentiality obligations do not apply to information that is publicly available through no breach of these Terms, independently developed without use of confidential information, or lawfully obtained from another source without a confidentiality obligation.

7. Security

Anywrks maintains commercially reasonable administrative, technical, and organizational safeguards designed to protect Customer Data from unauthorized access, use, alteration, disclosure, or loss.

Organizations are responsible for maintaining appropriate security within their own accounts, including:

• Protecting account credentials
• Using available authentication protections
• Providing access only to authorized users
• Reviewing and removing unnecessary access
• Maintaining appropriate security on devices used to access Anywrks

No online service can guarantee absolute security.

8. Third-Party Services

Anywrks may rely on or integrate with third-party services, including infrastructure, authentication, communications, payment, storage, or other technology providers.

We are not responsible for third-party products or services that are outside our reasonable control. Your use of independently provided third-party services may be governed by separate terms and privacy policies.

Anywrks may modify or discontinue integrations where necessary because of changes made by third-party providers, security concerns, technical limitations, or business requirements.

9. Termination

By You

You may cancel your Anywrks subscription in accordance with the cancellation options made available to you or by contacting us.

Unless otherwise agreed, access continues through the end of the applicable paid subscription period.

By Anywrks

We may suspend or terminate access if:

• You materially breach these Terms
• Required payments remain unpaid
• Your use creates a material security or legal risk
• Your use threatens the operation of Anywrks or other customers
• We are required to do so by law

Where reasonably practicable, we will provide notice and an opportunity to remedy the issue before termination.

Following termination, Customer Data will be handled in accordance with our Privacy Policy, retention practices, and any applicable written agreement.

10. Regulatory Responsibilities & Disclaimers

Anywrks provides software for operational organization and workflow management. It does not independently determine whether your Organization complies with applicable laws, regulations, payer requirements, licensing standards, contractual requirements, or program rules.

Your Organization remains responsible for:

• Determining which requirements apply to its programs
• Verifying the accuracy and completeness of records
• Completing required submissions through applicable systems and portals
• Maintaining legally required documentation
• Making clinical, service, employment, billing, eligibility, and compliance decisions

Alerts, statuses, deadlines, dashboards, and other information displayed by Anywrks are operational tools and should not be treated as legal or regulatory determinations.

HIPAA and Protected Health Information

Unless Anywrks and your Organization have entered into an applicable written agreement addressing HIPAA requirements, including a Business Associate Agreement where required, you must not use Anywrks to store or process Protected Health Information in a manner that would require Anywrks to act as a HIPAA Business Associate.

Beta Features

Anywrks may make beta, preview, experimental, or early-access functionality available from time to time. These features may be modified, suspended, or discontinued and are provided "as is" unless otherwise stated.

11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANYWRKS IS PROVIDED "AS IS" AND "AS AVAILABLE."

NAHE HOLDINGS LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT ANYWRKS WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR THAT EVERY ALERT, DEADLINE, STATUS, RECORD, OR OTHER OUTPUT WILL BE COMPLETE OR ACCURATE.

YOU ARE RESPONSIBLE FOR REVIEWING INFORMATION AND MAKING APPROPRIATE OPERATIONAL, COMPLIANCE, AND BUSINESS DECISIONS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NAHE HOLDINGS LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY ARISING OUT OF OR RELATED TO ANYWRKS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR ANYWRKS WILL NOT EXCEED THE AMOUNT PAID BY YOUR ORGANIZATION TO ANYWRKS DURING THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.

13. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Nahe Holdings LLC and its officers, employees, affiliates, contractors, and agents from claims, damages, liabilities, losses, and reasonable expenses, including attorneys' fees, arising from or related to:

• Your Organization's use of Anywrks
• Customer Data submitted through your account
• Your violation of these Terms
• Your violation of applicable law or the rights of another person
• Your Organization's programs, services, employment practices, billing practices, or regulatory obligations

14. Force Majeure

Neither party will be liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, widespread internet or network outages, cyberattacks, government actions, labor disruptions, pandemics, utility failures, or failures of critical third-party infrastructure.

This section does not excuse payment obligations for services already provided.

15. Governing Law & Disputes

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles.

Any dispute arising from or relating to these Terms or Anywrks will be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its applicable rules, with arbitration conducted in New Jersey, unless the parties agree otherwise.

Either party may seek temporary or injunctive relief from a court of competent jurisdiction where necessary to prevent actual or threatened misuse of intellectual property, confidential information, or unauthorized access to systems or data.

16. Changes to These Terms

We may update these Terms as Anywrks evolves or as legal or regulatory requirements change.

When material changes are made, we may provide notice by email, through Anywrks, or by another reasonable method before the changes take effect.

The effective date at the top of these Terms will indicate the latest revision.

Continued use of Anywrks after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.

17. General Terms

These Terms, together with our Privacy Policy and any applicable order form or written agreement, constitute the agreement between you and Nahe Holdings LLC concerning Anywrks.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

Our failure to enforce a provision of these Terms does not waive our right to enforce it later.

You may not assign these Terms without our prior written consent, except as permitted by applicable law. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of substantially all relevant assets.
